1. Payment Deadlines

 

Invoices are payable upon receipt and without discount, unless otherwise agreed in advance between the parties. Any request for an extension of payment terms must be requested and approved beforehand by the representatives of DESBOIS AG CONSEIL.

 

2. Payment Methods

 

Payments may be made by:
• SEPA transfer for European payments
• SWIFT transfer for international payments
• Letter of Credit (L/C)
• Documentary Credit compliant with UCP 600 rules of the International Chamber of Commerce

International banking fees related to the issuance, confirmation, verification, transfer, or any other processing of the selected payment method are fully borne by the client unless otherwise agreed in writing between both parties.

Goods are only loaded and shipped after validation of the receipt of the bank transfer in accordance with the attached and agreed terms between the parties, or after the bank verifies the specific documents in the case of a documentary credit or letter of credit.

 

3. Late Payment

 

In accordance with Article L441-10 of the French Commercial Code, any late payment results in:
• The application of late penalties corresponding to the legal interest rate multiplied by three.
• A mandatory fixed compensation of €40 for recovery costs.

When the recovery costs incurred exceed the amount of this indemnity, additional compensation may be requested upon presentation of supporting documents.

 

4. Deposits and Special Financial Conditions

 

Depending on the nature of the equipment and the amount of the order, the representatives of DESBOIS AG CONSEIL may require a minimum deposit of 30% or full payment before shipment, particularly for international operations. The order is considered confirmed only after receipt of the required deposit.

 

5. Retention of Title

 

In accordance with Article 2367 of the French Civil Code, DESBOIS AG CONSEIL retains ownership of the goods until full payment of the invoice. Risk transfers to the customer upon delivery of the goods to the carrier, in accordance with the Incoterms stated in the quotation or the contract.

 

6. Additional Costs

 

Unless otherwise specified or agreed between the parties, the client is responsible for:
• transportation costs (freight cost),
• administrative or customs fees related to export,
• and any other additional costs linked to international shipment.

These costs are detailed in the quotation or the invoice.

 

7. Disputes

 

These conditions are governed by French law.
In case of a dispute and failing an amicable settlement, the competent court is the one within the jurisdiction of the registered office of DESBOIS AG CONSEIL.
